Notarise Company Documents in Singapore

Corporate documents going abroad raise a question personal ones do not: not only did this person sign, but were they entitled to sign for the company.

Corporate documents going overseas carry an extra question that personal ones do not: not only did this person sign, but were they entitled to sign for the company.

Authority has to be evidenced

A notary cannot simply take a signatory’s word that they are a director, or that the board approved the transaction. Bring the resolution or other evidence of authority with you. Where the document itself is the resolution, the chain of who authorised what needs to be clear on its face.

Where the company is a party

The fee schedule treats execution by a company differently from an individual signature. That is set by rule rather than by us, and the full schedule is on the fees page.

Common corporate chains

Setting up a subsidiary abroad, opening an overseas bank account, registering a trademark in another jurisdiction and tendering for foreign work all tend to require the same bundle: certificate of incorporation, constitution, a current ACRA extract, and a resolution authorising the specific transaction. Each is a separate document for fee purposes. Send us the list and we will tell you the total before you commit.

How we help

How we help

Check the authority to sign

Not a formality. A notary cannot take a signatory's word that they are a director or that the board approved the transaction, so the resolution or other evidence has to be in order before the appointment.

Handle the whole bundle

Certificate of incorporation, constitution, ACRA extract, board resolution. Each is a separate document for fee purposes, and we will price the set before you commit.

Certify or witness, as the document requires

Corporate chains usually involve both: certified copies of the company records, and witnessed execution of the transaction documents.

Map the chain for the destination

Corporate documents more often than not need authentication and then apostille or legalisation, and the order matters. We set it out at the start.

Questions people ask

What evidence of authority do you need?

Usually a board resolution authorising the specific transaction and the specific signatory. Where the document being notarised is itself the resolution, the chain of who authorised what has to be clear on its face.

Is execution by a company charged differently?

Yes. The schedule treats execution by a company differently from an individual signature. That is set by rule rather than by us, and the full schedule is on the fees page.

We need a whole set of documents done. Can you quote for all of it?

Send us the list. Each document is separate for fee purposes, so a bundle is predictable to price, and knowing the total in advance is usually the point of asking.

Does the director have to attend in person?

Where a signature is being witnessed, yes, and with identification. Certifying copies of company records does not require the signatory, though the originals are needed.
